These Terms & Conditions are governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, our products, programs, or services shall be resolved through binding arbitration, rather than in court, except as outlined below.
Arbitration Process
Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
The arbitration shall take place in New York, unless otherwise agreed.
Each party will be responsible for its own legal fees, except as required by law.
Exceptions
Either party may:
Bring an individual claim in small claims court, if eligible
Seek injunctive or equitable relief in court to prevent unauthorized use, copying, or misuse of intellectual property or confidential information
Class Action Waiver
You agree that any dispute will be brought on an individual basis only, and not as part of a class, collective, or representative action.
2. Legal Requirements & Eligibility
You affirm that:
You are at least 18 years old (or the age of majority in your jurisdiction);
You have full legal capacity to enter into and comply with these Terms;
You will use the website and Services in compliance with all applicable laws, rules, and regulations.
Unauthorized use of our Services for any unlawful purpose is strictly prohibited.

These Terms apply to all users, customers, and participants unless otherwise stated in a separate written agreement.
4. Content, Use of Content & Intellectual Property
All content, materials, frameworks, recordings, tools, curricula, worksheets, videos, written materials, and digital assets provided by Embrace Change are the intellectual property of Embrace Change unless otherwise stated.
When you purchase or access our content, you are granted a limited, non-exclusive, non-transferable license for personal, non-commercial use only.
You may not:
Copy, reproduce, distribute, resell, sublicense, or share our materials
Use our content to train others or create derivative programs
Record, screenshot, or redistribute content without written permission
Unauthorized use may result in termination of access and/or legal action.
5. Coaching & Educational Disclaimer
All coaching, training, and educational content provided by Embrace Change is intended for informational and educational purposes only.
Embrace Change does not provide legal, medical, mental health, therapeutic, financial, or HR advice. Although our founder holds a JD, Embrace Change does not provide legal services.
You acknowledge that:
You are responsible for your own decisions, actions, and outcomes
Any guidance or suggestions are not guarantees of results
Coaching is not a substitute for professional advice or treatment where required
6. Results & Earnings Disclaimer
Any testimonials, examples, case studies, or outcomes shared by Embrace Change represent individual experiences and are not guarantees of similar results.
Results vary based on many factors, including personal effort, experience, timing, and external conditions. We make no guarantees regarding income, career advancement, promotions, job offers, or business outcomes.
7. Coaching, Programs & Participation Commitment
All coaching engagements and programs—whether individual or group-based—require a commitment to participation and completion.
By enrolling, you acknowledge that:
Your seat, facilitator time, and program resources are reserved specifically for you
Participation is expected for the full duration of the engagement
There are no refunds for coaching or programs once enrollment or services begin

8. Rules of Conduct & Community Standards
When accessing or using Embrace Change’s website and Services, you agree to:
Engage respectfully and professionally
Refrain from harassment, discrimination, hate speech, or harmful behavior
Follow all posted community guidelines or program-specific rules;
Respect confidentiality
Embrace Change may restrict, suspend, or terminate your access for conduct it deems inappropriate or harmful. Loss of access under these rules does not entitle you to a refund.
9. User Restrictions
You agree not to:
Use the Services for unlawful purposes;
Attempt to gain unauthorized access to secured areas of the site or Services;
Interfere with or disrupt network or server operations;
Circumvent billing, content protections, or access controls;
Impersonate another person or misrepresent your affiliation.
Violation of these restrictions may result in suspension or termination of access.
10. Limitation of Liability
To the fullest extent permitted by applicable law:
Embrace Change shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our Services.
Our total liability for any claim related to these Terms or our Services shall not exceed the amount you paid to Embrace Change for the applicable product or service in the 12 months preceding the claim.
This limitation applies regardless of the form of action, whether in contract, tort (including negligence), or otherwise.

11. AI Tools & Bot Usage
Embrace Change offers AI-powered tools and bots designed to provide informational support and guidance.
You acknowledge that:
AI-generated outputs may contain errors or limitations
Tools do not replace professional advice
You are responsible for how you interpret and apply any outputs
Embrace Change is not liable for decisions made using AI-generated content
12. Recordings & Media Consent
Live sessions, trainings, or group programs may be recorded for educational, internal, or participant-access purposes.
By participating, you consent to:
Session recordings being shared with enrolled participants
Use of anonymized excerpts for training, quality improvement, or marketing
You may choose to keep your camera off or limit participation if you prefer not to appear on recordings.
13. Payments, Payment Plans & Access
If you enroll using a payment plan or third-party financing:
The plan represents a commitment to the full program fee
Missed or failed payments may result in paused or revoked access
Outstanding balances remain due even if participation stops
Access to content, platforms, or communities may be time-limited based on the offering.
14. Third-Party Platforms
Embrace Change uses third-party tools and platforms.
We are not responsible for outages, disruptions, or issues caused by third-party services. Use of those platforms is subject to their own terms and policies.
15. Privacy
Your use of our site and services is subject to our Privacy Policy, available here.
16. Updates to These Terms
Embrace Change reserves the right to update or modify these Terms & Conditions at any time. Continued use of our site or services after changes are posted constitutes acceptance of the revised terms.
